The following constitutes Amendment No. 2 to the Schedule 13D filed by the undersigned ("Amendment No. 2"). This Amendment No. 2 amends the Schedule 13D as specifically set forth herein.
Item 4. Purpose of the Transaction.

Item 4 is hereby amended to add the following:

On June 11, 2019, the Issuer entered into an Agreement and Plan of Merger, as amended, (the "Merger Agreement") with TheMaven, Inc. (the "MVEN") and a wholly owned subsidiary of the MVEN (the "Merger Sub"). On August 7, 2019, pursuant to the Merger Agreement, Merger Sub merged with and into the Issuer, and the Issuer continued as the surviving corporation and as a wholly owned subsidiary of Parent (the "Merger").

Pursuant to the Merger Agreement, all shares of Company common stock were cancelled and exchanged for merger consideration of $3.09183364 per share in the Merger, plus one contractual contingent value right per share ("CVR") (as defined in the Merger Agreement) (the "Merger Consideration").

Item 5.     Interest in the Securities of the Issuer

Item 5 is hereby amended and restated to read as follows:

(a)(b)    With the completion of the Merger as defined and described in Item 4, the Reporting Person does not beneficially own, have the power to vote or direct the vote of, or have the power to dispose or direct the disposition of any shares of Common Stock of the Issuer.

(c)     Reference is made to the Merger Consideration defined and described in Item 4.
(e)     August 7, 2019.
